These Terms and Conditions ("Terms" or "Agreement") govern your use of the Takas mobile application and associated services ("Takas" or the "Service"), operated by Maksuni Financial Services Oy, registered in Finland. References to "we", "us", or "our" refer to Takas. By using or accessing the Takas app, you agree to comply with and be bound by these Terms.PLEASE READ THESE TERMS CAREFULLY. BY USING TAKAS, YOU ARE ENTERING INTO A LEGALLY BINDING AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.0. Definitions
For the purposes of these Terms: "Service" or "Takas" means the mobile application and all associated services operated by Maksuni Financial Services Oy. "User", "you", or "your" refers to any individual who accesses or uses the Service. "Rewards" means virtual benefits including but not limited to coins, spins, and lottery entries. "Coins" are virtual currency that can be converted to digital rewards such as gift cards. "Spins" are virtual opportunities that may grant coins or additional rewards. "Lotto" or "Lottery" refers to prize draws conducted through the Service. "Receipt" means a shopping receipt uploaded to the Service for reward eligibility.1. Eligibility and Registration
To use Takas, you must: 1. Meet age requirements: You must be at least 18 years old to use the Service. For users aged 13-17, guardian consent and verification is required. Lottery participation requires users to be 18 years or older in all jurisdictions. 2. Geographic eligibility: You must be a resident of Finland, Sweden, Norway, or Denmark. 3. Register an account with accurate, truthful, and complete information. 4. Maintain only one personal account per individual. 5. Prohibit account transfer: You may not sell, transfer, assign, or otherwise dispose of your account or any rights associated with it to any third party. 6. Account security: You are solely responsible for safeguarding your account credentials and for any activity conducted under your account, whether authorized or not. You must immediately notify us of any unauthorized access or security breach.2. Use of the Service
Takas allows users to: 1. Upload eligible shopping receipts 2. Earn virtual rewards (e.g. coins, spins, lottery entries) 3. Participate in promotions or other in-app activities 4. Redeem rewards for digital gift cards and other benefits. We reserve the right to: 1. Limit or modify app functionality at any time 2. Suspend or terminate accounts for suspicious or prohibited behavior 3. Determine eligibility of uploaded receipts or other data 4. Reject receipts that do not meet our criteria. Service availability: While we strive to maintain continuous service availability, the Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible, but are not obligated to do so. Third-party services: The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of such third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.3. Rewards System
3.1. Coins, Spins, and Lotteries - Users may earn: 1. Coins: Virtual currency convertible to digital rewards such as gift cards. Coins have no cash value unless explicitly stated. 2. Spins: Virtual opportunities that may grant coins or additional rewards. Spins are non-transferable and subject to availability. 3. Lotto entries: Entries for weekly or monthly prize draws. Lottery participation is subject to separate terms and age restrictions (18+). 3.2. Receipt Upload Rules - To qualify for rewards: 1. Receipts must be clear, unmodified, legible, and from your personal shopping 2. Must include store name, items purchased, total amount, and purchase date 3. Must be submitted within 14 days of the purchase date 4. Limited to 3 receipts per retailer per day 5. Receipts must be from eligible retailers in Finland, Sweden, Norway, or Denmark. Receipt rejection: We reserve the right to reject any receipt that does not meet our criteria. If your receipt is rejected, you may contact support to request review. Our decision regarding receipt eligibility is final. 3.3. Account Limits and Inactivity - 1. Users may have only one active account 2. Accounts may be suspended after 90 days of inactivity or if fraud is suspected 3. We reserve the right to limit rewards earned per account or per time period. 3.4. Redemption - 1. Minimum redemption value: €5 worth of coins (or equivalent in local currency) 2. Processing time: up to 7 business days from redemption request 3. Rewards are non-transferable and have no cash value unless explicitly stated 4. Rewards may expire if not redeemed within a specified period (we will notify you of expiration policies) 5. Currency: All values are displayed in euros (€) or local currency as applicable. 3.5. Tax Information - You are solely responsible for reporting and paying any taxes that may apply to rewards received through the Service. We do not provide tax advice. Please consult with a tax professional regarding your obligations. We may be required to report certain rewards to tax authorities as required by law.4. Intellectual Property
All content and software in Takas, including images, text, logos, designs, and code, are owned by us or our licensors and protected by intellectual property laws, including copyright, trademark, and patent laws. Users may not copy, distribute, modify, reverse-engineer, decompile, or create derivative works of any part of the app without our written consent. You retain ownership of any content you submit (such as receipt images), but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such content for the purposes of providing the Service.5. User Conduct
You agree not to: 1. Attempt to manipulate, exploit, or abuse reward systems 2. Upload false, fraudulent, altered, or third-party receipts 3. Use bots, scripts, automation tools, or any unauthorized means to interact with the Service 4. Violate any applicable laws or regulations in your country of residence (Finland, Sweden, Norway, or Denmark) 5. Impersonate any person or entity or misrepresent your affiliation with any person or entity 6. Interfere with or disrupt the Service or servers connected to the Service 7. Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks connected to the Service.6. Promotions, Sweepstakes, and Lotteries
Any Takas promotions, sweepstakes, or contests are subject to their own specific rules, which will be provided at the time of the promotion. These may include: 1. Age restrictions (lottery participation requires users to be 18 years or older) 2. Geographic restrictions 3. Entry requirements and prize details 4. Terms for use of any submitted content. Participation in such events implies acceptance of those specific rules. Lottery and Gambling Compliance: Lottery features are operated in compliance with applicable gambling and lottery regulations in Finland, Sweden, Norway, and Denmark. Users must be 18 years or older to participate in lottery draws. We operate under applicable licenses and regulations. If you have concerns about problem gambling, please seek help from appropriate support services in your country. Responsible gambling: We encourage responsible participation in lottery features. If you believe you may have a gambling problem, please contact support or seek professional help.7. Termination and Suspension
We may suspend or terminate your access to Takas: 1. For breach of these Terms 2. Due to suspected fraud, misuse, or violation of applicable laws 3. After prolonged inactivity (e.g. 3+ months) 4. For any reason deemed appropriate under applicable law. Upon termination: 1. Your right to use the Service immediately ceases 2. Unredeemed rewards may be forfeited unless otherwise required by law. We will provide reasonable notice and opportunity to redeem rewards before termination due to inactivity, when feasible 3. Your account and associated data may be deleted in accordance with our data retention policies (see Privacy Policy) 4. You remain responsible for any obligations incurred prior to termination. You may terminate your account at any time by contacting us or using account deletion features in the app. Upon your request for account deletion, we will delete your personal data in accordance with our Privacy Policy and applicable data protection laws, subject to legal retention requirements.8. Disclaimer of Warranties
We do not guarantee that Takas will be: 1. Always available or error-free 2. Free of bugs, security vulnerabilities, or data loss 3. Compatible with all devices or operating systems 4. Secure from unauthorized access or attacks. The Service is provided "as-is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We disclaim all warranties to the maximum extent permitted by applicable law in Finland, Sweden, Norway, and Denmark.9. Limitation of Liability
To the extent permitted under applicable law in Finland, Sweden, Norway, and Denmark, we will not be liable for: 1. Indirect, incidental, special, or consequential damages 2. Lost profits, data, business opportunities, or goodwill 3. Damages resulting from unauthorized access to or use of the Service 4. Damages resulting from third-party services or content. Our total liability for any claims arising from or related to the Service shall not exceed the value of rewards earned but not yet redeemed by you, or €50, whichever is greater. Nothing in these Terms excludes or limits our liability for: 1. Death or personal injury caused by our negligence 2. Fraud or fraudulent misrepresentation 3. Any other liability that cannot be excluded or limited under applicable law.10. Privacy and Data
We respect your privacy. Our practices are detailed in our Privacy Policy, which forms part of this Agreement. By using Takas, you agree to our data collection and usage policies, in accordance with the EU General Data Protection Regulation (GDPR) and applicable data protection laws in Finland, Sweden, Norway, and Denmark. Data retention: We retain your personal data for as long as necessary to provide the Service and comply with legal obligations. Account data is typically retained for the duration of your account and for a reasonable period after account deletion as required by law. Receipt data may be retained for fraud prevention and service improvement purposes. Data deletion: You have the right to request deletion of your personal data at any time. Upon account deletion, we will delete your personal data in accordance with our Privacy Policy and applicable data protection laws, subject to legal retention requirements. Data portability: You have the right to receive your personal data in a structured, commonly used format. Contact us to exercise this right.11. Changes to Terms
We may update these Terms at any time to reflect changes in our Service, legal requirements, or business practices. Material changes that adversely affect your rights will be notified via the app, email, or other reasonable means at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account. We recommend reviewing these Terms periodically.12. Governing Law, Jurisdiction, and Dispute Resolution
These Terms shall be governed by the laws of Finland, without regard to conflict of law principles. Any disputes shall be submitted to the District Court of Helsinki, unless otherwise required by mandatory consumer protection laws in your country of residence. Alternative Dispute Resolution: Before initiating court proceedings, we encourage you to contact us to resolve any disputes. For consumers in the EU, you may also use the EU Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/. Consumer Protection: If you are a consumer, you may have additional rights under the consumer protection laws of Finland, Sweden, Norway, or Denmark. These Terms do not limit your rights as a consumer under mandatory consumer protection laws. Consumer Protection Authorities: Finland: Finnish Competition and Consumer Authority (Kilpailu- ja kuluttajavirasto), Sweden: Swedish Consumer Agency (Konsumentverket), Norway: Norwegian Consumer Authority (Forbrukertilsynet), Denmark: Danish Competition and Consumer Authority (Konkurrence- og Forbrugerstyrelsen).13. Consumer Rights
As a consumer, you have certain rights that cannot be excluded by these Terms: 1. Right of withdrawal: Depending on your country of residence and the nature of the Service, you may have a right to withdraw from the Service within 14 days of registration, subject to certain exceptions. 2. Right to information: You have the right to clear information about the Service, rewards, and your rights. 3. Right to fair treatment: You have the right to be treated fairly and not be subject to unfair contract terms. 4. Right to complaint: You have the right to file complaints with consumer protection authorities in your country. These rights are in addition to any rights granted under applicable consumer protection laws in Finland, Sweden, Norway, and Denmark, which take precedence over these Terms where they conflict.14. Indemnification
You agree to indemnify, defend, and hold harmless Takas, Maksuni Financial Services Oy, and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising from: 1. Your use of the Service 2. Your violation of these Terms 3. Your violation of any rights of another party 4. Your violation of any applicable laws or regulations. This indemnification obligation will survive termination of your account and these Terms.15. Assignment
We may assign, transfer, or delegate these Terms and our rights and obligations hereunder, in whole or in part, to any third party at any time without your consent. You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. Any attempted assignment, transfer, or delegation in violation of this section shall be null and void.16. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, power outages, labor disputes, or other force majeure events. If such an event occurs, we will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that comes closest to the intent of the original provision.18. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any right or provision must be in writing and signed by us. A waiver in one instance shall not constitute a waiver in any other instance.19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Takas regarding the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, relating to the subject matter hereof. No amendment or modification of these Terms shall be effective unless in writing and signed by both parties, except as provided in Section 11 (Changes to Terms).20. Contact Information
